Welcome to Psychiatry Connection! These Terms and Conditions (“Terms”) govern your access to and use of our website at psychiatryconnection.com (the “Site”) and the telehealth psychiatric services provided by Psychiatry Connection (collectively, the “Services”).

The Site is operated by Psychiatry Services Professional Corporation Khurana Jeider, doing business as Psychiatry Connection (referred to as “Psychiatry Connection,” “we,” “us,” or “our”). By accessing or using our Site and Services, you agree to be bound by these Terms, as well as our Privacy Policy which is incorporated herein by reference. If you do not agree with these Terms or our Privacy Policy, you must not use our Site or Services.

Please read these Terms carefully before using the Site or Services. They contain important information about your legal rights, limitations of liability, and permitted uses. If you have any questions, you can contact us at contact@psychiatryconnection.com.

Notice Regarding Telehealth Services: Psychiatry Connection provides telepsychiatry (online psychiatric consultation and treatment) through licensed clinicians. While we strive to offer a seamless digital healthcare experience, telehealth has certain limitations and is not appropriate for all situations (see “Telehealth Consent and Risks” below). If you are experiencing a medical or psychiatric emergency or crisis, do NOT attempt to use our Site or Services – call 9-1-1 or go to the nearest emergency room immediately.

Below is a summary of key sections of these Terms:

The Services are not for emergencies or urgent situations.
You must be an adult (18+) or have guardian consent to use the Services, and Services are only available in certain U.S. states.
We outline how telehealth works, including potential risks and your consent to receive treatment electronically.
No medical advice is given on the Site itself outside of consultation; any general content is for information only.
We disclaim warranties and limit our liability to you.
By using our Services, you agree to arbitrate most disputes and waive jury trials and class actions (see Dispute Resolution).
Additional standard provisions apply (governing law, how we can modify these Terms, etc.).

By clicking “Accept” (if such button or link is presented to you) or by using the Site, you acknowledge that you have read and understood these Terms and agree to them.

1. Description of Services

Psychiatry Connection offers telehealth psychiatric services, meaning you can consult with licensed psychiatric clinicians (such as psychiatrists or psychiatric nurse practitioners) via secure video conferencing or other remote communication tools. We provide evaluation, diagnosis, medication management, and other mental health services, exclusively through telemedicine. We do not have a physical clinic location for in-person visits; all services are delivered remotely.

Psychiatry Connection itself is a professional medical corporation (not a mere technology platform). When you use our Services, you will be treated by one of our licensed clinicians who is authorized to practice in your state. However, until you have had an initial consultation and the clinician affirmatively agrees to take you on as a patient, no doctor-patient relationship is established. Simply visiting our Site or filling out an inquiry form does not create a provider-patient relationship.

Any information on our Site (such as blog articles, FAQs, or general mental health information) is provided for general informational purposes only and is not medical advice. While we strive for accuracy, the general content on the Site should not be used to self-diagnose or substitute for professional advice. For personalized medical advice, you must consult directly with a qualified healthcare provider (such as through our telehealth Services). Never disregard professional medical advice or delay seeking it because of something you read on our Site.

2. Eligibility and Geographic Restrictions

Age Requirements: You must be 18 years of age or older to use the Site and Services on your own. If you are under 18, you may use our Services only with the involvement and consent of a parent or legal guardian . We may require verification of guardian consent for patients under 18. By using our Site, you represent and warrant that you are 18 or older, or that you are accessing the Services with appropriate parental consent.
Residency and Location: Our Services are currently available only to individuals who are physically located in the following U.S. states: Arizona, Colorado, Idaho, Montana, Utah, and Washington. Each of our clinicians is licensed to practice in one or more of these states, and we cannot provide telehealth services to someone outside these jurisdictions due to licensing laws. You represent that when you receive telehealth services from us, you are physically located in one of the states listed above. We may ask you to confirm your location at the time of scheduling and at the time of each telehealth session.
Out-of-State/International Access: While our website may be accessible from anywhere, we make no representation that the materials or Services are appropriate or available for use outside the permitted states. If you choose to access the Site from outside those states (or outside the U.S.), you acknowledge that you are doing so on your own initiative and that you are solely responsible for compliance with any local laws. Access to and use of the Site is prohibited where it would violate applicable laws or regulations .
U.S. Only: We do not presently offer services to individuals in any other countries. The information on our Site about medications or treatments is specific to U.S. approvals and practice standards and may not be applicable in other countries.

We reserve the right to deny or terminate service to anyone who does not meet these eligibility criteria or for whom we cannot legally or safely provide telehealth care. If we discover that you have misrepresented your age or location, we may immediately terminate your access without notice.

3. Not for Emergencies or Crisis Situations

Our Services are NOT for use during medical or mental health emergencies. If you are experiencing a crisis or any situation that you believe might be an emergency, call 9-1-1 or your local emergency number immediately. Do not attempt to contact Psychiatry Connection through the Site or wait for a telehealth appointment, as this may delay vital care .

Examples of emergencies include but are not limited to: having suicidal thoughts with intent or plan, feeling in danger of harming yourself or others, chest pain, severe shortness of breath, signs of stroke, or any life-threatening condition. Psychiatry Connection is not an emergency service provider. We do not offer 24/7 crisis hotlines or walk-in emergency care.

If you are having urgent psychiatric distress (but not immediately life-threatening), please call the National Suicide Prevention Lifeline at 988 (in the U.S.) or go to the nearest emergency room. After you have received appropriate emergency care, you can contact us for follow-up care.

You agree that you will not attempt to use the Services for emergency needs and understand that in an emergency, you should seek in-person care or specialized emergency services.

4. Telehealth Informed Consent and Risks

By using our telehealth Services, you consent to receiving healthcare services via remote telecommunication technologies (e.g., video calls, audio calls, secure messaging). Telehealth allows your clinician to consult with you without an in-person office visit. While telehealth offers convenience and accessibility, it also has unique aspects and potential risks which you acknowledge and accept:

Technology Requirements: You will need an internet-connected device with a functioning camera and microphone for video sessions. It is your responsibility to ensure you have a compatible device, a reliable internet connection, and a private setting for your appointments. We are not liable for any inability to deliver Services due to technical failures on your side (such as poor connectivity).
Quality of Care: The level of care provided via telehealth is intended to be equivalent to that of an in-person visit, but there are situations where telehealth may be insufficient. For example, visual or audio clarity might be suboptimal: if video resolution is poor, the clinician might not observe certain non-verbal cues or physical details . There is a risk that incomplete information may lead to less accurate or delayed assessment, and in some cases your clinician may determine that they cannot safely or effectively treat you via telehealth alone.
Follow-up and In-Person Care: You understand that telehealth is not suitable for all kinds of problems, and it is not a substitute for your primary care physician or needed specialist evaluations. You agree to follow your provider’s recommendations, which may include in-person evaluation or treatment by local healthcare providers or emergency services when necessary. You should continue any ongoing in-person care as recommended (e.g., therapy or primary care visits) and not solely rely on telepsychiatry if your provider advises in-person follow-up.
Safety and Emergency Plan: At the start of our provider-patient relationship, we will ask for an emergency contact and your location as part of your safety plan. In the rare event of a technology disruption during a session (e.g., video call drops), you should attempt to rejoin the session or use a backup phone line. If we are concerned for your safety and cannot reach you, you authorize us to contact your provided emergency contact or local authorities as needed purely out of concern for your well-being.
Privacy and Security: We use a HIPAA-compliant video platform (such as Zoom for Healthcare or a similar secure telehealth tool) to conduct sessions. These platforms employ encryption and security measures to protect your privacy. However, you also play a role in protecting your privacy: it’s important that you participate from a private location where you feel comfortable discussing sensitive information and that you use your own secure internet connection (avoid public Wi-Fi if discussing PHI). While unlikely, there is a small risk of privacy breaches due to unauthorized access (hacking) or technical failures. Our systems have network security protocols to safeguard data , but no system is infallible. By consenting to telehealth, you acknowledge these privacy risks.
Limitations of Telehealth: You understand that telehealth does not allow for hands-on physical examination. Your provider relies on the information you provide and their observations over video. Some conditions may not be diagnosable via telehealth, and you might be advised to seek in-person care. Additionally, there may be delays in evaluation or treatment if technical problems occur (for example, if a connectivity issue disrupts a session, it might need to be rescheduled, delaying medical decisions) .
Prescriptions: If, as a result of a telehealth consultation, our provider issues a prescription for you, they will do so in compliance with telemedicine prescribing laws. Certain medications (particularly controlled substances) have additional legal restrictions via telehealth; we will inform you if an in-person evaluation is required by law before such medications can be prescribed. You agree that any prescription you receive is solely for your personal use. You will follow the treatment plan and dosing instructions and will not share medication with others. You also agree to read all provided medication information and ask questions if you have concerns .
Consent to Treatment: By creating an account or scheduling an appointment (if applicable), you indicate your consent to receive telehealth services from Psychiatry Connection providers. You can withdraw your consent at any time and discontinue use of telehealth, though this may limit our ability to treat you. Withdrawing consent will not retroactively affect any services provided before the withdrawal.

We will also present you with a Telehealth Informed Consent form (either electronically or via email) that outlines these points in detail, which you may be required to sign prior to your first appointment. These Terms incorporate that informed consent by reference. If you have questions about telehealth or do not understand its risks/benefits, please discuss with your provider before proceeding.

5. Privacy and Data Use

Your privacy is very important to us. Our Privacy Policy describes how we collect, use, and protect your personal information when you use our Site and Services. By using the Site or Services, you agree that we can use your information as outlined in the Privacy Policy .

When you receive healthcare services from Psychiatry Connection, the information you share with us for treatment (your medical history, symptoms, etc.) is considered Protected Health Information (PHI). We handle PHI in accordance with HIPAA and applicable state laws. This means, among other things, that:

We will provide you with a Notice of Privacy Practices (separate from the website Privacy Policy) that explains how we use and disclose your PHI for treatment, payment, and health care operations. You will typically receive this at or before your first appointment.
We will not disclose your PHI to third parties for marketing purposes without your explicit authorization, and we will not sell your PHI .
We maintain strict confidentiality and security measures for PHI. For example, our telehealth platform is HIPAA-compliant, and any records we keep are secured.
If you have any questions about privacy or need to exercise your rights (like accessing your medical record), please refer to the Notice of Privacy Practices or contact us.

In summary, personal data you provide on the Site (like contact information in a web form) is governed by the website Privacy Policy, while medical information you provide as part of receiving care is protected by HIPAA and our Notice of Privacy Practices. We take both very seriously. If there is any conflict between these Terms and the Privacy Policy or Notice of Privacy Practices regarding how we use your information, the Privacy Policy/Notice will govern in their respective contexts.

6. User Accounts and Security

(Currently, Psychiatry Connection may not require user accounts for the Site, as intake is done via forms and scheduling. If in the future we provide a patient portal or require account creation, this section will apply.)

Account Creation: Some features of our Services might require you to create an account or profile (for example, a secure patient portal for messaging or accessing treatment plans). You agree to provide accurate, current, and complete information during registration, and to update such information to keep it accurate and complete. You must not impersonate someone else or provide information you aren’t authorized to share.
Account Security: You are responsible for maintaining the confidentiality of any login credentials (username, password) and for restricting access to your account. You agree to notify us immediately at support@psychiatryconnection.com if you suspect any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to adequately safeguard your credentials.
Use by Others: If you allow someone else (e.g., a family member) to use your account or the Services on your behalf, you are responsible for their actions and compliance with these Terms. For example, if a parent sets up an account for a minor child, the parent must supervise the child’s use. Do not share your account with anyone outside your immediate family or caregiving context.
Our Right to Terminate Accounts: We reserve the right to suspend or terminate your account (or ability to use the Services) at any time if we suspect that you have violated these Terms, provided false information, or engaged in fraudulent or harmful behavior. We may also suspend accounts that have been inactive for a long period or are associated with potential security breaches.

(If no user accounts are used on the Site at this time, you can interpret this section as a notice of how we would handle account-related issues should they be introduced. We will inform users and update these Terms if account-based features are launched.)

7. User Conduct and Acceptable Use

You agree to use our Site and Services only for lawful purposes and in accordance with these Terms. You are prohibited from:

Violating Laws or Regulations: Do not use Psychiatry Connection in a manner that violates any applicable federal, state, or local law, regulation, or ordinance. This includes all healthcare, privacy, and telemedicine regulations. For example, you must not use the Services to obtain controlled substances unlawfully or engage in any fraudulent activity.
Unauthorized Access: Do not attempt to gain unauthorized access to any portion of our Site, our servers, or other systems. This includes not trying to circumvent authentication measures, hacking into secure areas, or using any automated means (like bots or spiders) to access or collect information from the Site beyond what we intentionally make available to you.
Disruption: You must not interfere with the operation of our Site or Services. This means no introducing viruses, worms, malware, or any other code that could harm the Site or other users’ devices. Also, do not launch any denial-of-service attacks or other attempts to disrupt our hosting or networks.
Harassment or Abuse: You agree not to use the Site or Services to harass, threaten, demean, or cause distress to any person. This includes communications with Psychiatry Connection staff and providers – we have a zero tolerance policy for abusive language or behavior directed at our team. If you engage in such behavior, we may terminate your access.
Misuse of Services: Do not use the telehealth Services in any way that is not intended. For example, you should not schedule appointments under false pretenses, or seek prescriptions for someone other than yourself (unless as part of a legitimate guardian relationship). You should not record telehealth sessions without permission. (We generally do not allow patients to record sessions unless agreed upon, to protect privacy for all parties.)
Intellectual Property Infringement: You may not upload, post, or transmit any content on the Site that infringes on the intellectual property or other rights of any party. This includes not sharing documents or materials through any portal that you don’t have the right to share.
Commercial Use or Advertising: The Site is for your personal use in obtaining healthcare services. You must not use our Site to advertise or promote third-party services, or scrape our content for commercial use. Any automated data collection from our Site (e.g., using scripts or bots to gather information) is forbidden without our prior written permission.

We expect all users to use common sense and be respectful. If you violate any of the above rules or any other provision of these Terms, we reserve the right to take action including warning you, terminating or suspending your access, contacting law enforcement, or taking legal action as appropriate.

8. Intellectual Property Rights

All content and materials on the Psychiatry Connection Site and delivered through our Services are the property of Psychiatry Connection or our licensors, and are protected by intellectual property laws. This includes (but is not limited to) the text, graphics, logos, button icons, images, audio clips, video content, data compilations, software, and the design, selection, and arrangement of such content.

License to You: Psychiatry Connection grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal, non-commercial use of our Site and the content on it. This license allows you to view information on our Site for your own use (for example, reading articles or learning about our services, and interacting with our telehealth platform as a patient). No other use is permitted.
No Reproduction: You must not copy, reproduce, modify, distribute, publicly display, or create derivative works from any content on our Site without our express written permission. For instance, you cannot take the text of our blog or service descriptions and post them elsewhere, or use our photos in your own materials, unless you have our permission.
Trademarks: “Psychiatry Connection,” our logos, and any other product or service names or slogans we may use are trademarks or service marks of Psychiatry Connection (unless otherwise noted). You are not permitted to use these trademarks without prior written approval from us. All other names, logos, or marks mentioned on the Site that are not owned by Psychiatry Connection are the trademarks of their respective owners and are used for identification purposes only (such as mentioning “Zoom” or “JotForm,” which are trademarks of those entities).
Feedback: If you choose to provide feedback, suggestions, or ideas to us (for example, suggestions for improving the service), you agree that we can use and implement those ideas without compensation or attribution to you. You grant us a worldwide, perpetual, irrevocable license to use any feedback you provide for any purpose.
Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Psychiatry Connection. Nothing in these Terms transfers any ownership of intellectual property to you. Just because you use our Site does not give you any ownership or rights to our content or branding (other than the limited license to use the Site as set forth above).

If you believe that any content on our Site infringes your copyright or other intellectual property rights, please notify us with detailed information so we can investigate and respond accordingly (see Contact Us section for how to reach us). We respect intellectual property rights and expect users to do the same.

9. Third-Party Websites and Links

Our Site or communications may contain links to third-party websites or resources for your convenience (for example, links to articles, the “Get Started” form hosted on JotForm, or pharmacy resources). Additionally, our advertising activities might link you out to other platforms (like a Facebook page or Reddit post). These third-party sites are not controlled by Psychiatry Connection, and we are not responsible for their content, availability, or privacy practices.

When you click a third-party link, you will be subject to that third party’s terms and policies, not ours. We encourage you to review the terms of use and privacy policy of any third-party site you visit.
A link to a third-party site does not imply endorsement by Psychiatry Connection. We provide these links for information or convenience (for example, linking to Google’s site to explain how Google Analytics works , or to an official resource about mental health), but we are not responsible if the third-party information is inaccurate or if their site has issues (like malware).
JotForm and Other Integrated Services: Our intake form might redirect to an external site (such as JotForm.com) that is embedded or linked. While we choose reputable providers and have agreements in place (JotForm is HIPAA compliant for our form), the interaction is still via a third party. You accept that when you use those features, your information is being transmitted through that third party. We have made efforts to ensure they protect your data (see Privacy Policy for details), but any issues that arise from that third party’s errors are not fully under our control.

We shall not be held liable for any loss or damage that may arise from your use of third-party websites. If you have a problem or question about a third-party link (for instance, if a link is broken or leads to inappropriate content), you can contact us so we can consider removing or updating the link, but we do not guarantee any third-party content.

10. Disclaimer of Warranties

Use of the Psychiatry Connection Site and Services is at your own risk. To the fullest extent permitted by law, Psychiatry Connection and its owners, clinicians, employees, and agents disclaim all warranties of any kind, whether express, implied, or statutory, related to the Site and Services.

This includes, but is not limited to, the following:

“AS IS” and “AS AVAILABLE”: We provide the Site and Services on an “as is” and “as available” basis . We make no warranty that the Site will be uninterrupted, secure, or error-free, or that any particular results can be obtained from its use. While we strive for high availability, we do not guarantee the platform will be available at any given moment (for example, there may be downtime for maintenance or issues outside our control).
Implied Warranties Disclaimed: We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. For instance, we do not promise that our telehealth Services are a perfect fit for every user’s needs or that they will meet all expectations; individual results may vary.
No Medical Outcome Guarantee: While our clinicians aim to provide the best possible psychiatric care, we make no guarantees or warranties about the specific outcomes of treatment. Mental health treatment effectiveness can vary widely among individuals. You acknowledge that improvement is not guaranteed and that any statements about potential benefits are opinions, not guarantees.
Accuracy of Information: Any information presented on the Site (like mental health articles or service descriptions) is provided in good faith for general informational purposes. However, we do not warrant that any such content is complete, accurate, or up-to-date. Medical knowledge evolves and while we try to keep content updated, there may be delays or inadvertent errors.
Technology and Security: Although we employ safeguards, we do not warrant that the Site or server is free of viruses or other harmful components. You are responsible for using appropriate software to detect and disinfect viruses from any download. We also do not guarantee that data transmissions (like forms or communications through the Site) will be 100% secure or reach their destination without loss, and we make no warranty related to the integrity or confidentiality of communications through the Site.
Third-Party Services: We make no warranties regarding any third-party tools, services, or content (like the performance of JotForm, video platforms, or links to other resources). Your use of those is subject to their terms, and we are not responsible for them.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, any implied warranties are limited to the minimum duration and extent permitted by applicable law.

11. Limitation of Liability

To the extent permitted by law, Psychiatry Connection and its affiliates, employees, officers, directors, contractors, and agents shall not be liable for any damages that result from the use of, or inability to use, our Site or Services, or from any content thereon. This includes:

Types of Damages Excluded: We will not be liable for any indirect, special, incidental, consequential, or punitive damages. Examples of such damages include, but are not limited to, damages for loss of profits, loss of data, personal injury, pain and suffering, emotional distress, or similar harm, even if foreseeable or even if we’ve been advised of the possibility of such damages.
Direct Damages Cap: Our total liability to you for any direct damages arising in connection with your use of the Site or Services will not exceed the amount you paid to Psychiatry Connection for the specific service in question, or one hundred U.S. dollars ($100), whichever is greater. For example, if you paid $150 for a consultation that gave rise to a claim, our maximum liability would be $150. If you paid nothing (just browsing the site), our liability is capped at $100.
Clinical Liability: Nothing in these Terms is intended to disclaim liability that cannot be disclaimed under law. While these Terms govern your use of the Site and general aspects of the Services, any professional malpractice or negligence claim would be evaluated under applicable medical malpractice laws, not these Terms. However, to the extent permitted, even in such cases we do not accept liability for amounts or categories of damages beyond what is allowed by law. (In plain language: we do not seek to avoid responsibility for professional standards of care, but we do limit other liabilities as stated.)
No Liability in Certain Cases: Psychiatry Connection is not liable for any failure or delay in performance of our Services if that failure results from causes beyond our reasonable control, such as acts of God, power outages, internet or telecommunications failures, system failures, war, acts of terrorism, or government actions.
User Responsibility: You assume all responsibility for any decisions you make based on information obtained through the Site or Services. For instance, if you choose to act or not act on medical information on the Site without consulting a professional, you do so at your own risk. Similarly, if you fail to follow medical advice given to you by our providers, we are not responsible for consequences of that choice.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. But our liability is limited to the fullest extent permitted by law.

YOUR SOLE REMEDY for dissatisfaction with the Site or Services is to stop using them.

12. Indemnification

You agree to indemnify, defend, and hold harmless Psychiatry Connection, its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, contractors, and agents (the “Indemnified Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Site or Services in violation of these Terms or any applicable law/regulation.
Any breach of your representations or obligations under these Terms (for example, if you provided false information during sign-up, or shared your account improperly).
Any allegation that any content or information you submitted or transmitted through the Site infringes or violates the rights of a third party (for instance, if you posted a comment or review somewhere on our platform, which we currently don’t allow, but hypothetically).
Your negligence or willful misconduct, or any harm caused to someone else due to your actions in connection with using our Services. (For example, if you misuse a prescription obtained through our Service, or you share someone else’s private information through our platform.)

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that case, you agree to cooperate with our defense of such claim. You will not settle any such claim without our prior written consent (because we might want to approve the terms of a settlement that implicates us).

This indemnification obligation will survive any termination of your relationship with Psychiatry Connection or cessation of use of our Services. It basically means you’ll cover us for losses incurred due to your improper use or violation of these Terms.

13. Modification and Termination of Services

Modification of Services: Psychiatry Connection reserves the right to modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice. This could include changing or removing certain features, adding new features, updating the software, or imposing usage limits. We will not be liable to you or any third party if we exercise this right. However, if you have prepaid for services that are not delivered due to a discontinuation, we will refund any unused portion as required.
Termination by Us: We may terminate or suspend your access to the Site or Services, in whole or in part, at our sole discretion, for any legitimate reason, including without limitation: violation of these Terms, suspected fraudulent or harmful activity, non-payment for Services (if applicable), or if we stop offering any portion of the Services. We may attempt to provide notice to you in such event (e.g., email to your registered address), but we are not obligated to do so in all cases (for instance, if urgent termination is required to prevent harm).
Termination by You: You are free to stop using our Site at any time. If you have an account, you can request to deactivate it. If you are receiving ongoing Services and wish to terminate (for example, you decide to stop treatment), you should inform your provider or contact us. Keep in mind that as a medical practice, we might have specific protocols for transferring care to another provider (we can assist in that process to avoid abandonment).
Effect of Termination: Upon any termination of your access, whether by you or us, you must cease all use of the Site and Services. Any provisions of these Terms which by their nature should survive termination (such as intellectual property rights, disclaimer of warranties, limitation of liability, dispute resolution, and indemnification) will survive. If your access is terminated due to a breach of these Terms, we reserve the right to deny any future use of our Services.

Termination of service does not erase any obligations you incurred prior to termination. For instance, if you owed any fees or had agreed to pay for a session you missed without proper cancellation (subject to any cancellation policy we have), you would still owe those amounts even after termination.

14. Dispute Resolution and Arbitration Agreement

Please read this section carefully, as it affects your rights. It provides that most disputes between you and Psychiatry Connection must be resolved by binding arbitration, and you are waiving the right to a trial by jury or to participate in a class action. This arbitration clause shall survive termination of these Terms.

Initial Dispute Resolution: We are committed to addressing any concerns or disputes in a fair and efficient manner. You agree to first attempt to resolve any dispute informally by contacting us at [support@psychiatryconnection.com] and providing a brief written description of your issue and your contact information. We will attempt to resolve the dispute through communication with you (for example, via email or phone) within 30 days of receiving your dispute notice. Most concerns can be resolved quickly in this way.
Binding Arbitration: If we are unable to reach a resolution informally, you and Psychiatry Connection agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, or interpretation thereof, or our Services (collectively, “Disputes”) shall be settled by binding arbitration on an individual basis. This includes any claims based in contract, statute, tort, misrepresentation, or any other legal theory.
- Arbitration Process: The arbitration will be administered by a neutral arbitration provider (such as the American Arbitration Association (AAA)) in accordance with its applicable rules (e.g., the Consumer Arbitration Rules). If AAA is not available, the parties will agree on an alternative reputable arbitration provider.
- Arbitration Location and Procedures: Unless you and Psychiatry Connection agree otherwise, the arbitration will take place in a location convenient for both parties. If you are an individual consumer, you may choose to have the arbitration conducted by telephone, video conference, or written submissions if in-person hearing would be a burden. The arbitration shall be conducted in English by a single arbitrator.
- Arbitration Costs: Each party will be responsible for their own attorneys’ fees and costs, but the arbitrator can award the prevailing party reimbursement of those fees and costs, to the extent provided under law. Arbitration filing fees will be governed by the arbitration provider’s rules; however, if you are unable to afford the filing fee, we encourage you to let us know and we will consider advancing or reimbursing fees as needed to ensure access to arbitration.
- Authority of Arbitrator: The arbitrator shall follow the substantive law of the state of [Colorado]* (or federal law, where applicable) and shall have the authority to award any individual relief that a court could award, including monetary damages, injunctive relief, and declaratory relief. The arbitrator will provide a reasoned written decision if requested by either party. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver: You and Psychiatry Connection agree that any arbitration (or court proceeding, if any) will be conducted on an individual basis and not on a class, consolidated, or representative basis. You further agree that you and Psychiatry Connection waive the right to participate in or bring a class action, class arbitration, or other representative proceeding for any Dispute. The arbitrator has no authority to consider or resolve any Dispute or issue subject to this class action waiver.
Exceptions: Notwithstanding the above, the following claims are not subject to arbitration:
- Either party may bring an individual claim in small claims court for disputes or claims within that court’s jurisdictional limit, as long as the matter remains in small claims court and is not removed or appealed to a court of general jurisdiction.
- Either party may bring suit in court to seek an injunction or other equitable relief to protect its intellectual property rights or for unauthorized use or abuse of the Services (for example, unauthorized access, breach of confidentiality obligations, or a data security breach, which may require urgent action by a court).
Opt-Out Right: If you do not wish to agree to arbitration for disputes, you must notify us in writing within 30 days of first accepting these Terms (or within 30 days of any material change to this arbitration section) by sending an email to [contact@psychiatryconnection.com] with subject line “Arbitration Opt-Out” and your name and address in the body, or via mail to our address provided below. This is the only way to opt out of arbitration; failure to do so within the 30-day period means you accept the arbitration agreement. If you opt out, neither you nor Psychiatry Connection can insist on arbitration for any matter covered by this arbitration agreement.
Severability (Arbitration): If the class action waiver or any part of this arbitration agreement is found to be unenforceable, then the entirety of the arbitration agreement shall be null and void (in which case the dispute may be brought in court). However, the remaining provisions of these Terms (outside of arbitration) will remain in effect.

By agreeing to these Terms, you explicitly acknowledge that you have read and understood this arbitration provision and agree to its terms.

15. Governing Law

These Terms and any dispute arising out of or relating to these Terms or our Services shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict of law principles, and the federal laws of the United States (including HIPAA and other federal health laws where applicable) .

This governing law provision applies regardless of your location, except where superseded by applicable consumer protection laws (which might mandate applying the laws of your home state or country for certain issues).

If for any reason a Dispute is not subject to arbitration or small claims court as provided above, then it shall be resolved exclusively in the state or federal courts located within Colorado (and specifically, a court of competent jurisdiction closest to the city where our headquarters or principal place of business is located). Both you and Psychiatry Connection consent to venue and personal jurisdiction in such courts, and waive any objections on the grounds of inconvenient forum. However, we retain the right to seek injunctive relief in any jurisdiction if necessary to protect our interests or enforce our rights (as noted under exceptions to arbitration).

16. Changes to These Terms

We may occasionally update or modify these Terms. If we make material changes, we will notify users by posting the revised Terms on this page with a new “Last Updated” date, and/or by other means (e.g., email notification if appropriate). It is your responsibility to review these Terms periodically.

By continuing to use the Site or Services after updated Terms are posted, you agree to the revisions. If you do not agree to the changes, you must stop using our Site and Services. For any changes that materially affect your rights or obligations, we may ask for your explicit consent (for example, in the case of introducing an arbitration clause, which we have included in this initial version).

Any ambiguities in interpreting these Terms shall not be construed against the drafter.

17. Miscellaneous Provisions

Severability: If any provision of these Terms is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. The invalid provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
Entire Agreement: These Terms (including any referenced documents like the Privacy Policy and Notice of Privacy Practices, and any additional informed consent or guidelines provided to you) constitute the entire agreement between you and Psychiatry Connection with respect to the Site and Services, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between us and you regarding the subject matter herein . In case of any conflict between these Terms and any other policy or agreement, these Terms will generally control with respect to use of the Site, unless otherwise stated.
Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law, or any other scenario.
No Waiver: Our failure to enforce any provision or exercise any right under these Terms shall not constitute a waiver of that right or provision. Any waiver must be explicit and in writing to be effective. The exercise of one remedy or right by us does not waive the right to exercise any other remedy.
Relationship of Parties: You agree that no joint venture, partnership, employment, or agency relationship exists between you and Psychiatry Connection as a result of these Terms or your use of the Services. You are an independent user of the Site (and a patient of our clinicians as applicable), but not an employee or agent.
Headings: The section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
